1. Acceptance of Terms & Legal Operator

These Terms of Service ("Terms") are between you and [Legal Entity], doing business as Vaelis Labs (“Vaelis,” “we,” “us,” or “our”). By accessing or using Vaelis Labs, you agree to be bound by these Terms. If you do not agree to these terms, please do not use our services.

2. Account Creation and Eligibility

Vaelis is not directed to children under 13. We do not knowingly collect information from children under 13. If you are under 18, do not submit a resume, connect an email account, or use outreach features without parent or guardian involvement. We may require parental verification before enabling features involving email access or personal information. By creating an account, you represent that you meet these eligibility requirements.

3. Description of Service & Disclaimers

Vaelis Labs is a pre-launch AI agent designed to assist students in discovering opportunities. Vaelis is an assistance tool, not an email provider or placement service.

Examples, demonstrations, and product mockups are illustrative unless expressly identified as verified results. Vaelis does not guarantee responses, interviews, research positions, internships, admissions, or other outcomes. Results depend on the user, recipients, qualifications, timing, and other factors outside Vaelis’s control.

4. Acceptable Use and Email Outreach

Users are solely responsible for recipient selection, message content, sender identity, frequency, compliance with applicable laws, and honoring opt-out requests. Vaelis may limit, pause, or disable outreach features to prevent spam, abuse, or excessive sending.

To comply with the CAN-SPAM Act, you must:

  • Provide accurate and truthful sender information.
  • Include a valid physical postal address in your outreach.
  • Provide a clear, conspicuous, and easy-to-use opt-out mechanism.
  • Honor all opt-out requests promptly and effectively.

5. Automated Sending Limitations

Fully automatic sending is not permitted. Our product requires and enforces:

  • Mandatory user review and approval before sending any message.
  • Enforced rate limits to prevent spam.
  • Duplicate-recipient prevention and adherence to opt-out suppression lists.
  • Mandatory unsubscribe text and "Stop sending" controls.
  • An accessible audit log of all communications.
  • The ability to cancel scheduled follow-ups at any time.

6. AI-Generated Content & Impersonation

You are strictly prohibited from misrepresenting the origin, author, or sender of any message. You may not impersonate professors, university staff, corporate entities, or any other individual.

7. Data Sourcing and Platform Integrity

Vaelis Labs prohibits the use of unauthorized bots or scrapers. Scraping LinkedIn profiles is strictly forbidden. Vaelis Labs relies exclusively on permitted APIs, explicitly licensed data, and publicly accessible sources.

8. User Content and Resume License

You retain all rights to the resumes, information, and content you submit ("User Content"). By submitting User Content, you grant Vaelis a limited, non-exclusive license to use, process, and display this content solely for the purpose of providing the service to you.

9. Ownership of Vaelis Software and Branding

Vaelis Labs retains all intellectual property rights in and to the Vaelis software, service, branding, and platform. You are granted no rights in our intellectual property other than the limited right to use the service in accordance with these Terms.

10. Third-Party Services

Vaelis relies on third-party providers (such as Supabase, Vercel, and Google/Microsoft for email capabilities). We are not responsible for the availability, security, or practices of these third-party services.

11. Suspension and Termination

We reserve the right to suspend or terminate your access to the service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the service, us, or third parties, or for any other reason.

12. Changes to the Service and Terms

We reserve the right to modify or discontinue the service at any time. We also reserve the right to modify these Terms. If we make material changes, we will notify you through the service or via email. Your continued use of the service after such modifications constitutes acceptance of the updated Terms.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vaelis Labs and its affiliates, officers, directors, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the service, including your email outreach activities.

14. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud, intentional misconduct, or rights that cannot be waived under applicable law.

To the maximum extent permitted by applicable law, in no event shall Vaelis Labs be liable for any indirect, incidental, special, consequential, or punitive damages. [Maximum Liability Cap to be determined by legal counsel].

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in California.

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. These Terms constitute the entire agreement between you and Vaelis Labs regarding the use of the service.
